Introduction

Guided by Asama Giken Philosophy, Asama Giken (hereinafter, referred to as "AG") has expanded its business globally based on the pursuit of new dreams and the determination to make them come true. Through these efforts, we have shared a "joy" and established a trust with customers and society around the world. As a result of expanding our business globally, now there are associates in various countries and regions around the world. Honest and ethical behavior of each associates, based on the philosophy, are necessary for AG to ensure the trust of customers and society. So, we have compiled the conduct guideline over again, as people work in AG around the@world should act in good faith, and changed its name to the "AG Code of Conduct" this time. In order to be more reliable and become "a company expected to exist", for customers and society, officers and employees of all AG group companies and its subsidiaries need to fully understand AG Code of Conduct, and practice honest and ethical conduct following this. In addition, the act against AG Code of Conduct, it may be subject to be punished, based on company rules and relevant laws and regulations.


Responsibility of management

People in the responsibility of management are expected to give a good example undertaking its work with high ethical standards, in order to develop honest and ethical corporate culture of AG. And also, please create the organization culture that each subordinate can practice AG Code of Conduct, report and take counsel without being retaliated or suffering disadvantage, if there is a concern. In addition, please report to the legal department or the ethics help line and manage appropriately in case you find the facts or the doubt of AG Code of Conduct violation, without leaving it.


Range of applications

AG Code of Conduct applies to officers and employees of all AG group companies and its subsidiaries. Besides, AG recommends the relevant companies also to act along AG Code of Conduct.

Quality of products and services

  • AG strives to provide products and services that exceed the expectations of customers and society. As the premise of that, AG give priority to quality and safety over any other things, fix high standards voluntarily, and correspond faithfully.

  • Required conduct
  • I, as an associate of AG, will give the highest priority to quality and safety of products and services, and obey the fixed standards and procedures faithfully. Also, I demand business partners and sales companies to follow them, too.


Proper advertising and publicity

  • AG will faithfully advertise, make publicity and do sales promotion activities for products, in order to continue to be trusted and expected by customers and society.

  • Required conduct
  • I, as an associate of AG, will properly advertise, make publicity and do sales promotion activities for products, so as not to give customers a misunderstanding.


Compliance with the competition law

  • AG makes a free and fair competition with rival companies, in order to continue to be a company that is trusted by customers and society.

  • Required conduct
  • I, as an associate of AG, will comply with the competition law (Antimonopoly law).

Business partners and AG

Fair and sound business

  • AG, as a fair company and under free competition, strives to do sound business and achieve long-term and developing relationships through building trust with all business partners, such as parts suppliers, sales companies and contractors.

  • Required conduct
  • I, as an associate of AG, will abide by the following items, in order to maintain fair and sound relationships with business partners. I properly carry it out according to the policy and procedure of AG in choosing a business partner. And I will follow applicable laws and regulations, and internal rules regarding transactions. In my dealings with business partners, I will neither offer nor accept gifts or benefits beyond what is generally considered appropriate in the society. Also, I will not inappropriately exercise my position or authority to exact improper benefits from business partners, nor to give.

  • I, as an associate of AG, in compliance with the laws and regulations related to safety and health or internal rules, will strive to maintain a safe and healthy workplace and to prevent accidents and to minimize any damage.

Company Assets

  • AG possesses and manages tangible and intangible assets as management resources to achieve business goals.

  • Required conduct
  • I, as an associate of AG, will appropriately handle company assets, and will neither practice nor engage in any act that harms the value of company assets or that conflicts, or appears to conflict, with the interest of AG. I, as an associate of AG, will follow internal rules to appropriately manage assets of AG such as facilities, equipment, jigs, products, parts and accessories, rental items from company, money, intellectual properties and every other asset, and I will not use assets of AG other than for purposes of the business and operations of AG.

  • AG appropriately protects and manages confidential information and personal information for the purpose of conducting proper business operation.

  • Required conduct
  • I, as an associate of AG, will follow applicable laws, rules and regulations, and appropriately manage confidential information of AG, information regarding business partners and personal information regarding customers and associates of AG. Also, I will never abuse the information including the insider trade.


Conflict of Interest

  • AG does not accept the act of any associates against the interests of AG for proper business operations.

  • Required conduct
  • I, as an associate of AG, will neither practice nor engage in any act that benefits my own interest or the interests of business partners or third parties, which may conflict, or appear to conflict, with the interests of AG.

  • In performing my work, I, as an associate of AG, will follow the laws and regulations related to the protection of the environment, company policy and internal rules, and strive to reduce the environmental impacts through promoting efficient use of natural resources and energy and recycling.


Contributions to Society

  • AG strives to contribute to society through providing products and services that exceed the expectations of customers and society, as well as through other business activities. To fulfill social responsibilities as a corporate citizen, AG also engages in activities that contribute to the well-being of society.

  • I, as an associate of AG, will understand AG's fundamental approach concerning contributions to society, and will strive to play the expected role in the community.

Politics, Administration and AG

Politics, Administration and AG

  • AG's Policy
  • AG, as an independent company, will maintain a straightforward and sincere relationship with politics (political bodies and politicians) and administration (administrative bodies and government officials).

  • Required conduct
  • I, as an associate of AG, will deal fairly and openly with politics and administration by complying with applicable laws and regulations and following the common sense of society. I, as an associate of AG, will not offer government employees or politicians any gifts or benefits that are prohibited by any laws and regulations or internal rules.

Shareholders, investors, other stakeholder, and AG

Timely and proper disclosure of information

  • AG promotes appropriate communication with the stakeholders such as customers, business partners, shareholders and investors, and local communities for the purpose of staying transparent and accountable.

  • Required conduct
  • I, as an associate of AG, will make appropriate disclosure to the outside when I am involved in it, in accordance with the laws and regulations or internal rules, and make a sincere response to the various stakeholders.

What to do if the laws and regulations or internal rules have been violated

  • Required conduct
  • Whenever violations of laws and regulations or internal rules, or the risk of such an occurrence is noticed, I, as an associate of AG, will report to or consult with my supervisor or the legal department, or make proposal to the ethics help line*.
